Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the PureLogix.ai website, tools, and services (the “Services”). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you confirm you are authorized to accept these Terms for that organization.

Paid engagements are also governed by a separate signed agreement, proposal, or statement of work. If that signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

Our Services

PureLogix.ai is an AI automation consulting and development agency. Our Services may include:

• AI readiness assessments and automation opportunity analysis.
• Workflow design, implementation, and integration.
• Ongoing management, monitoring, and support.
• Lead intake, requested AI callbacks, scheduling, and proposal preparation.
• Access to client and admin portals where applicable.

We may update, improve, or discontinue features of the website over time. Material changes to paid Services are handled through your signed agreement.

Eligibility and Accounts

You must be at least 18 years old and able to enter a contract to use the Services. If we provide you an account, you are responsible for keeping your credentials secure and for activity under your account. Tell us promptly if you suspect unauthorized access.

Acceptable Use

When using the Services, you agree not to:

• Break the law or use the Services for any unlawful, harmful, or deceptive purpose.
• Submit false information or impersonate another person or organization.
• Upload malware, attempt to gain unauthorized access, probe, or disrupt the Services or their security.
• Scrape, overload, or abuse the Services, including our forms and AI features.
• Submit other people’s personal information without a lawful basis to do so.
• Use the Services to send spam or to violate others’ rights, including intellectual-property and privacy rights.
• Attempt to manipulate AI features to produce unsafe, infringing, or misleading output.

We may suspend or limit access to protect the Services, our users, or our business, and we may report unlawful activity to authorities.

No Guaranteed Outcomes

Automation can improve speed, consistency, reporting, and productivity — but results depend on your data, processes, and decisions. We do not guarantee specific revenue, cost savings, time savings, rankings, or other business outcomes. Any examples, ranges, or estimates we share are illustrative, not promises.

AI Features and Human Review

Some of our Services use AI to summarize, classify, draft, or analyze information. AI output can be incomplete or incorrect. AI output that affects you — such as proposals, pricing guidance, or qualification — is reviewed by a person before it is acted on or sent.

You are responsible for reviewing outputs that matter to your business and for involving qualified professionals for high-risk decisions, including legal, tax, accounting, and compliance conclusions. AI features are tools to assist people, not a substitute for professional advice.

Your Responsibilities

To help us deliver good work, you agree to:

• Provide accurate, complete information and timely access, approvals, and feedback.
• Hold the rights and permissions needed for any data, content, or accounts you give us access to.
• Review and approve workflows and outputs where review is required.
• Use the automations we build in a way that complies with applicable laws and platform rules.
• Maintain your own backups and security practices for systems we do not control.

Fees and Payment

Fees for paid Services are set out in your proposal, statement of work, or subscription agreement. Unless that agreement says otherwise, fees are due as invoiced and are exclusive of applicable taxes. Refunds and cancellations are addressed in our Refund Policy and in your signed agreement.

Intellectual Property

We retain ownership of our website, brand, pre-existing materials, tools, and reusable components, including improvements to them. Ownership of custom deliverables we build for you is set out in your signed agreement; absent other terms, you receive a license to use deliverables for your business once fees are paid.

You retain ownership of the content and data you provide. You grant us the limited rights needed to deliver and support the Services. We may use general, non-identifying know-how and learnings to improve our work.

Confidentiality

Each party may receive confidential information from the other. We will protect your confidential information using reasonable care and use it only to provide the Services, except as required by law or permitted by your signed agreement. We treat client documents, call transcripts, recordings, and business notes as confidential.

Third-Party Services

The Services may rely on or connect to third-party providers (such as hosting, AI, communications, and scheduling vendors). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate.

Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services is limited as set out in your signed agreement and, absent other terms, to the amounts you paid us for the Services in the period giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

Indemnification

You agree to defend and indemnify PureLogix.ai against third-party claims arising from your unlawful use of the Services, your content or data, or your breach of these Terms, except to the extent caused by our own wrongdoing.

Term and Termination

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or to protect the Services or others. Termination of paid engagements is governed by your signed agreement. Sections that by their nature should survive — such as intellectual property, confidentiality, disclaimers, and limitation of liability — survive termination.

Governing Law and Disputes

Governing law, venue, and dispute-resolution terms will be specified here and must be set by legal counsel for our jurisdiction. Until finalized, treat this section as a placeholder for that legal review.

Changes to These Terms

We may update these Terms as our Services or legal obligations change. When we make material changes, we will update the date below and, where appropriate, provide additional notice. Continued use of the Services after changes take effect means you accept the updated Terms.
